Welcome to Wingtu Lounge. By accessing our website and utilizing our OEM/ODM apparel manufacturing services, you agree to be bound by the following Terms and Conditions.

1. OEM/ODM Services & Intellectual Property

1.1 Client Intellectual Property
We respect your intellectual property. All tech packs, designs, logos, patterns, and specifications provided by the Client remain the sole property of the Client. We agree not to use, sell, or distribute your custom designs to any third party. Non-Disclosure Agreements (NDAs) can be signed upon request before sharing tech packs.

1.2 Production Rights & Liability
We act solely as a contract manufacturer. The Client assumes full legal responsibility for ensuring that all designs, trademarks, and materials submitted do not infringe upon any existing third-party intellectual property rights.

2. Orders, Pricing, and Payment Terms

2.1 Quotations
All quotes provided are valid for 25 days unless otherwise stated. Prices may be adjusted based on fluctuations in raw material costs and exchange rates.

2.2 Payment Terms
Unless a separate contract is signed, our standard payment terms are as follows:

  • Bulk Production: A 40% non-refundable deposit is required to commence production. The remaining 60% balance is due prior to shipment.
  • Sampling Fees: Sample fees are refundable or deductible upon placing a bulk order exceeding 300 pieces (subject to the specific quotation).

2.3 Payment Methods
We accept T/T (Telegraphic Transfer), PayPal, and Letter of Credit (L/C). Specific payment methods shall be as confirmed in the quotation or contract.

3. Sampling, Production, and Tolerances

3.1 Sampling Process
Bulk production shall not commence until the Client has approved the pre-production sample (PP Sample) in writing (via email confirmation or signed approval). We reserve the right to refuse to start bulk production without written sample approval.

3.2 Manufacturing Tolerances
Due to the nature of garment manufacturing, the following tolerances are considered acceptable industry standards:

  • Measurement Tolerance: ±0.5 to 1 inch (approximately ±1.3 to 2.5 cm)
  • Minor Defect Rate: Up to 3%, consistent with standard textile industry practice
  • Color Variation: Slight shade differences between fabric batches are considered normal

3.3 Post-Production Modifications
Once bulk production has commenced, any requested changes to design, workmanship, or quantities shall be at the Client's expense. Additional costs and delivery delays resulting from such modifications shall be borne by the Client.

4. Shipping and Delivery

4.1 Trade Terms
We offer various international trade terms (Incoterms), including but not limited to EXW, FOB, CIF, and DDP, as agreed upon in the invoice or quotation.

4.2 Lead Times
Lead times are estimates based on current factory capacity and material availability. We shall not be liable for delays caused by:

  • Force majeure events (natural disasters, pandemics, wars, government restrictions, etc.)
  • Customs clearance delays
  • International shipping disruptions or port congestion
  • Client's failure to timely approve samples, tech packs, or payments

4.3 Goods Inspection
We recommend that the Client arrange for third-party inspection or on-site inspection prior to shipment. If the Client does not arrange for inspection, the goods shall be deemed accepted according to our factory quality control standards.

5. Returns, Claims, and Limitation of Liability

5.1 Quality Claims
In the event of quality issues exceeding the agreed tolerances, the Client must notify us in writing within 15 days of receipt of goods, accompanied by photographic or video evidence. Upon verification and confirmation by us, the following remedies shall be available:

  • Replacement of defective goods
  • Proportional discount or compensation
  • Rework and repair (shipping costs to be borne by the responsible party)

5.2 Limitation of Liability
In no event shall we be liable for any indirect, incidental, or consequential damages arising out of the manufacturing or delivery of the products. Our maximum liability shall not exceed 20% of the total amount paid by the Client for the specific order in dispute.

6. Confidentiality and Data Protection

6.1 Confidentiality Obligations
Both parties undertake to maintain the confidentiality of each other's trade secrets, technical documentation, and customer information obtained during the course of cooperation. Neither party shall disclose such information to any third party without the other party's prior written consent.

6.2 Data Usage
We shall use the contact information provided by the Client solely for order communication and service purposes. We do not sell or use such information for marketing purposes.

7. Governing Law and Dispute Resolution

7.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.

7.2 Dispute Resolution
Both parties shall endeavor to resolve any disputes amicably through good-faith negotiation. If negotiation fails, either party may:

  • Submit the dispute to the competent People's Court at our location; or
  • Refer the dispute to Yiwu, China Arbitration Commission for arbitration in accordance with its then-effective arbitration rules.

8. Miscellaneous

8.1 Amendments
We reserve the right to modify these Terms at any time. Revised Terms will be posted on our website. Continued use of our services constitutes acceptance of the modified Terms.

8.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

8.3 Entire Agreement
These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior oral or written communications.
